1. Introduction

This Agreement ("the Agreement") is a binding contract between Company ("Licensor") and the Client ("Licensee") and governs the Licensee's use of the Business Management System solution ("the Software") provided by Company.

2. Acceptance of Terms

By purchasing or using the Software, the Licensee acknowledges and agrees to the terms stipulated in this Agreement.

3. Grant of License

During the subscription term, Company grants the Licensee a non-exclusive, non-transferable, non-sublicensable, revocable license to use the Software.

4. Payment Terms

The Software is provided based on a subscription model. Payments are to be made monthly, yearly, or based on other agreed-upon terms. The subscription fee must be paid in advance before the end of the subscription term.

5. Automatic Renewal

The subscription automatically renews at the end of each term unless cancelled by the Licensee.

6. Updates

Company commits to providing regular updates to the Software based on necessity.

7. Uptime and Availability

Company shall strive to maintain the highest possible uptime for the Software but does not guarantee uninterrupted service.

8. Termination

Either party may terminate this Agreement by providing written notice. Upon termination, access to the Software will cease. Company will retain the Licensee's data for the duration of the subscription term and will remain accessible free of charge for at least one month after the subscription ends. Post this period, the client may incur charges for continued data access.

9. Limitations

The Licensee may not reverse-engineer, decompile, or disassemble the Software. The Software cannot be resold, transferred, or sublicensed without written consent from Company.

10. Support and Training

Company provides a support guide for all Licensees. Additionally, free or paid training is available depending on the type of subscription chosen by the Licensee.

11. Third-Party Software & Addons

This Agreement pertains solely to the Software provided by Company. Third-party integrations or their performance are not governed by this Agreement.

12. Use of Images by Company

Images provided within the Software by Company can be freely used by the Licensee in connection with the Software but cannot be sold or redistributed as standalone items.

13. Service Level Agreement (SLA)

  • Uptime: Company commits to a target uptime, barring unforeseen circumstances or scheduled maintenance.

  • Backups: Regular backups of the Licensee's data will be taken every 24 hours.

  • Support Response: Company shall respond to any support queries within a reasonable timeframe.

14. Jurisdiction

Any legal disputes arising from this Agreement shall be adjudicated in the courts of London, UK.
